Terms of Service

1. Who you're contracting with

These Terms govern your use of the Communitae web application at communitae.ai (the “Service”) provided by:

Communitae is established in Spain. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have legal capacity to enter into this contract. If you accept these Terms on behalf of a company, you represent that you have authority to bind that company.

3. The Service

Communitae provides software-as-a-service tools for managing social media presence on Instagram (and additional platforms as released), including:

  • Scheduling and publishing posts.
  • AI-assisted content generation (text, images, video) using third-party AI providers.
  • Analytics and insights from connected social accounts.
  • Inbox features for comments and direct messages received via webhooks.
  • Team collaboration features.

We may add, modify, or remove features over time.

4. Your account

  • You are responsible for keeping your login credentials confidential.
  • You are responsible for all activity under your account.
  • Notify us promptly at [email protected] if you suspect unauthorized access.
  • One person or legal entity per account; sharing logins is not permitted on individual plans.

5. Connected social accounts and Meta Platform Terms

When you connect an Instagram account to Communitae, you authorize us to act on your behalf within the permissions you grant. By doing so:

  • You confirm you have the right to manage that Instagram account.
  • You agree to comply with the Meta Platform Terms, the Instagram Platform Policy, and Instagram's Community Guidelines.
  • You acknowledge that Meta may suspend or revoke our access to your account at any time, and that this would limit our ability to deliver the Service for that account.

You may disconnect a social account at any time from Settings → Integrations.

6. Subscriptions and billing

6.1 Plans

We offer paid subscription tiers (Trial, Starter, Professional, Enterprise). Features and limits per tier are described on the pricing page.

6.2 Payment

  • Payments are processed by Stripe. By paying, you accept Stripe's terms.
  • Subscriptions auto-renew at the end of each billing period unless cancelled.
  • All prices are in EUR unless stated otherwise. VAT is added where applicable under Spanish and EU law.

6.3 Refunds

  • Pro-rata refunds are not generally provided for partial periods. EU consumers retain their statutory withdrawal right (14 days from contract conclusion) for first-time purchases, except where they have already begun using digital services with explicit consent and acknowledgment that the withdrawal right is lost (Art. 16(m) Directive 2011/83/EU).
  • We may issue discretionary refunds for service outages or billing errors.

6.4 Price changes

We may change prices with at least 30 days' notice by email. Changes apply at your next renewal.

6.5 Cancellation

You can cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period.

7. Acceptable use

You agree not to use the Service to:

  • Violate any law, third-party right, or platform policy (including Meta's).
  • Post or generate content that is illegal, defamatory, infringing, harassing, hateful, sexually explicit involving minors, or otherwise harmful.
  • Engage in spam, fake engagement, follow/unfollow automation, or other manipulation prohibited by Instagram.
  • Attempt to access another user's account, scrape data, reverse-engineer the Service, or circumvent rate limits and security controls.
  • Use the AI features to generate content that infringes copyright, defames a person, or impersonates real individuals without authorization.
  • Resell or sublicense the Service without our written agreement.

We may suspend or terminate accounts that violate these rules, with or without notice.

8. AI-generated content

  • AI features generate content based on your inputs and a third-party model. We do not guarantee the originality, accuracy, suitability, or non-infringement of generated content.
  • You are solely responsible for reviewing and approving AI-generated content before publishing it.
  • You retain ownership of your inputs. Output ownership depends on the underlying provider's terms; we transfer to you whatever rights we receive, to the maximum extent permitted by law.
  • Generated content may resemble content produced for other users using similar prompts. We do not guarantee uniqueness.

9. Intellectual property

  • We retain all rights in the Service, the platform code, branding, and documentation.
  • You retain all rights in your inputs, brand assets you upload, and the content you publish.
  • You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, modify (e.g. resize media), and display your content as needed to operate the Service.
  • This license terminates when you delete the content or your account, except for backups (purged per the retention schedule in our Privacy Policy) and content already published to third-party platforms.

10. Service availability and changes

  • We aim for high availability but do not guarantee uninterrupted Service. Maintenance windows and outages may occur.
  • We may modify, suspend, or discontinue any part of the Service. Material discontinuations affecting paid features will be announced with at least 30 days' notice.

11. Third-party services

The Service depends on third parties including Meta (Instagram API), Stripe, OpenRouter, Google Cloud, and Railway. Their availability, terms, and pricing are outside our control. Disruptions in these services may affect Communitae.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except as required by law. Nothing in these Terms limits rights that cannot be excluded or limited under mandatory consumer law (including Spanish Law 1/2007 and the EU Consumer Rights Directive).

13. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or related to the Service is limited to the greater of (a) EUR 100 or (b) the amount you paid us in the 12 months preceding the event giving rise to liability. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profit, goodwill, or data.

These limits do not apply to liability for death or personal injury caused by our negligence, fraud, or other liability that cannot be excluded under Spanish law.

14. Indemnity

You agree to indemnify us against third-party claims arising from your use of the Service in violation of these Terms or applicable law, including claims related to content you publish or AI-generated content you approve and publish.

15. Term and termination

  • These Terms apply while you have an account.
  • You can terminate any time by deleting your account.
  • We can terminate immediately for material breach or repeated violations of acceptable use, or with 30 days' notice for convenience.
  • On termination, your right to use the Service ends. Sections that by their nature should survive (e.g. liability, IP, governing law) survive.

16. Changes to these Terms

We may update these Terms. Material changes will be announced by email or in-app at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

17. Governing law and jurisdiction

These Terms are governed by Spanish law. The courts of Barcelona, Spain, have exclusive jurisdiction over disputes — subject to mandatory consumer protections that grant EU consumers the right to bring proceedings in their country of residence.

EU consumers may also use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

18. Miscellaneous

  • Severability: if any provision is unenforceable, the rest stays in effect.
  • No waiver: failure to enforce a provision is not a waiver.
  • Assignment: you may not assign these Terms. We may assign them to a successor in connection with a merger, acquisition, or sale of assets.
  • Entire agreement: these Terms (with the Privacy Policy and any applicable order form) constitute the entire agreement between us regarding the Service.
